Bylaw Changes to be Voted on During OSA Annual Meeting
The Ohio Soybean Association (OSA) Board of Trustees will be presenting proposed changes to the Association's bylaws for ratification at the 2006 Association Annual Meeting. The meeting will be held at All Occasions in Waldo on Wednesday, December 13, at 11:15 a.m.
The Board has proposed these changes to bring the bylaws up to date with Ohio non-profit law, as well as to reflect the Association's changes in operations. A committee of Mark Watkins, Rob Joslin, Joe Shaeffer, Jeff Sollars, and Dave Younkman recommended revisions, which have been adopted by the Board and are now recommended for membership vote. Changes are proposed in the following areas
- Changing the officer structure from two vice presidents to one, so that the officers would be chairperson, president, vice president, secretary and treasurer. The committees previously chaired by the vice presidents will be led by committee chairpersons
- Using a smaller, more active Executive Committee of no more than seven trustees to be chaired by the vice president. Currently, nine trustees serve on the Executive Committee.
- Establishing a more formalized committee structure to carry out the Association's activities.
- Conducting a minimum of three regular board meetings in addition to the Association's Annual Meeting.
- Listing the Association's purposes and limitations.
- Updating meeting provisions, including (i) changing the time for holding the annual meeting from 60 days before or after the end of the calendar year to within three months of the close of the fiscal year, (ii) giving members -- along with officers and trustees -- the right to call a special meeting, and (iii) changing the quorum from 5% of the total membership to those voting members present at a legally called meeting.
- Updating trustee provisions as to number, qualifications, terms, and elections.
- Adding a trustee meeting section, which includes the ability to give notice and to meet using electronic or other types of communications.
- Including signature requirements for disbursements.
- Expanding sections on amending the Bylaws to allow for Board revisions.
